Terms of Use for using Passport and Passportme.com
These Terms of Use apply for both the Passportme.com Website and for any related application and service. 2509938 Ontario Ltd. d.b.a. Passport and its controlled affiliates (collectively, the “Passport Company”) own, operate and maintain the website located at the domain Passportme.com and at other related domains owned by Passport Company (collectively the “Website”). These Terms of Use (The "Terms of Use") govern use of the Website and services (the "Services") of Passport Company, in addition to any supplemental terms applicable to any particular features, content and functionality of the Services, which such supplemental terms are incorporated by reference into the Terms of Use. By using the Services, Users agree to be bound by these Terms of Use, our Privacy Policy, all applicable laws and all conditions or policies referenced here (collectively, the "Terms"). Passport Company may amend the Terms at any time by posting a revised version of the Terms on our Services. Access to or continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms.


Definitions
In these Terms of Use, we refer to those raising funds as "Campaign Initiators" and to their fundraising campaigns as "Campaigns." We refer to those contributing funds as "Contributors" and to the funds they contribute as "Contributions." Campaign Initiators, Contributors and other visitors to the Services are referred to collectively as "Users".


Passport is a Sports Crowdfunding Platform
Passport is an online sports crowdfunding platform for athletes, coaches, teams, tournament organisers, clubs, federations and managers seeking to raise funds for their own Campaigns and to contribute to the Campaigns of others. Passport Company makes no representations about the quality, safety, morality or legality of any Campaign or Contribution or the truth or accuracy of User Content (as defined below) posted on the Services. Passport Company does not represent that Contributions will be used as described in the Campaign. Users use the Services at their own risk.


Eligibility to Use the Services
Users under 18 years of age are not eligible to use the Services without consent. Users between the ages of 13 and 17, can use the Services with the consent and supervision of a parent or legal guardian who is at least 18 years old, provided such parent or legal guardian also agrees to be bound by the Terms and agrees to be responsible for such use of the Services. Users suspended from using the Services are not eligible to use the Services. Passport Company reserves the right to refuse use of the Services to anyone and to reject, cancel, interrupt, remove or suspend any Campaign, Contribution, or the Services at any time for any reason without liability.


Prohibited Campaigns
Campaign Initiators are not permitted to create a Campaign to raise funds for illegal activities, to cause harm to people or property, or to scam others. Users must comply with all applicable laws and regulations in connection with their Campaigns, including using the raised Contributions. Campaign Initiators shall not make any false or misleading statements in connection with their Campaigns.


Community Guidelines
Passport Company is not a place for hatred, abuse, discrimination, disrespect, profanity, meanness, harassment, or spam. Do not:

Campaign Initiators are not permitted to do any of the following with Campaign images:

Disputes between Campaign Initiators and Contributors
Campaign Initiators are legally bound to perform on any promise and/or commitment to Contributors. Passport Company does not recognize any third party and/or agency affiliated with the Campaign as a Campaign Initiator. If a Campaign Initiator is unable to perform on any promise and/or commitment to Contributors, the Campaign Initiator will work with the Contributors to reach a mutually satisfactory resolution, which may include the issuance of a refund of Contributions by the Campaign Initiator. Passport Company is under no obligation to become involved in disputes between Campaign Initiators and Contributors, or Users and any third party. In addition, Passport Company is under no obligation to become involved in disputes regarding the determination of the rightful Campaign Initiator, and will not be obligated to make any changes to Campaign Initiator accounts or transfer of ownership. In the event of any dispute, such as a Campaign Initiator's alleged failure to comply with the Terms or alleged misuse of the raised Contributions, we may provide the Campaign Initiator's contact information to the Contributor so that the two parties may resolve their dispute.


User Accounts
All information submitted in connection with a User account on the Services (each, a “User Account”) must be accurate and truthful. Users agree to notify Passport Company immediately if their User Account has been used without authorization or there has been any other breach of security of the User Account. Each User also agrees to provide additional information Passport Company may reasonably request and to answer truthfully and completely any questions Passport Company might ask you in order to verify such User's identity.


License to Users
Passport Company grants each User a limited, non-exclusive, non-transferable, revocable license to use the Services subject to such User's eligibility and continued compliance with the Terms.


Campaign Initiators
Campaign Initiators are legally bound to perform on any promise and/or commitment to Contributors. Campaign Initiators shall respond promptly and truthfully to all questions posed to them by Passport Company or any Contributor. If any Campaign Initiator is unable to fulfill any of its commitments to Contributors, the Campaign Initiator will work with the Contributors to reach a mutually satisfactory resolution, which may include refunding their Contributions. Campaign Initiators will comply with all applicable laws and regulations in the use of Contributions. Campaign Initiators are responsible for collecting and remitting any taxes on Contributions. Passport Company may attempt to verify the identity and other information provided to us by Campaign Initiators, and we may delay, withhold, reverse or refund any Contributions or other amounts without notice or liability in the event we are unable to verify any such information to our satisfaction. A Campaign Initiator must request from Passport Company the disbursement of the raised Contributions within 30 days from the conclusion of a Campaign. Campaign Initiator eligibility is subject to Passport Company’s approval, in its sole and absolute discretion. Passport Company reserves the right to prohibit or remove a Campaign for any reason.


Contributors
Contributors are solely responsible for asking questions and investigating Campaign Initiators and Campaigns to the extent they feel is necessary before making a Contribution. All Contributions are made voluntarily and at the sole discretion and risk of the Contributor. Passport Company does not guarantee that Contributions will be used as promised or that the Campaign will achieve its goals. Passport Company does not endorse, guarantee, make representations, or provide warranties for or about the quality, safety, morality or legality of any Campaign or Contribution, or the truth or accuracy of User Content posted on the Services. Contributors are solely responsible for determining how to treat their Contributions for tax purposes.


Service Fees
Setting up an account on the Services is free. We do not charge our Service fees to Contributors. Unless otherwise expressly indicated on the Services, we do charge our Service fees to Campaign Initiators as a portion of the Contributions they raise (the "Service Fees"). By using the Services herein, Campaign Initiators agree to pay to Passport Company Service Fees in the amount of 4.5% of the gross raised Contributions, subject to change. Changes to Service Fees are effective after we post notice of the changes on the Services. Updated Service Fees are applied to Campaigns launched after the notice is posted.


Refunds
Contributors may request a refund from Passport Company within 10 days of the contribution, but before the end of a Campaign. Contributions are eligible for a refund by Passport Company unless (a) the contribution funds have already been transferred to the Campaign Initiator, or (b) Passport Company determines that there has been an abuse of these Terms of Use. Passport Company reserves the right to terminate User Accounts and remove Campaigns for any abuse of this refund policy. For Campaigns that have ended, or in situations where the contribution funds have been transferred to the Campaign Initiator, Contributors should contact the Campaign Initiator directly regarding refunds.


Taxes
Tax authorities may classify funds raised on the Services as taxable income to the Campaign Initiator and any beneficiary who will receive funds directly from the applicable Campaign. If required by the relevant taxing authorities, Passport Company may ask for the tax identification number of Campaign Initiators and any beneficiaries so that we may report taxable income to the relevant taxing authorities. Passport Company will provide Campaign Initiators with a tax document if required by the relevant taxing authorities.


User Content
While using the Services, Users may post photos, videos, text, graphics, logos artwork and other audio or visual materials (collectively, "User Content"). Users grant Passport Company a perpetual, non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, publicly display, publicly perform, store, reproduce, modify, create derivative works, and distribute User Content of any User on or in connection with the Services and our related marketing and promotional activities. As between Users and Passport Company, Users continue to hold all ownership interest in their User Content. Each User represents and warrants that its User Content and our use of such User Content will not infringe any third party's intellectual property rights, proprietary rights, privacy rights, confidentiality, rights of publicity or otherwise violate these Terms or applicable law.

Promotions
Campaign Initiators may not offer any contest, competition, prize, giveaway, sweepstakes or similar activity (each, a "Promotion") on the Services without Passport Company's prior written permission (which may be granted or withheld by Passport Company in its sole and absolute discretion). Subject to and upon any such permission, each Campaign Initiator offering any Promotion further acknowledges and agrees that: (a) such Campaign Initiator shall be solely responsible for all facets of each such Promotion; (b) such Promotion does not require any Contribution or other payment of any amount as the sole method of entry into such Promotion; and (c) the official rules for such Promotion shall include clear and conspicuous language to the effect that: (i) Passport Company does not sponsor, endorse or administer the Promotion; (ii) each participant or entrant in the Promotion releases Passport Company from any and all liability; and (iii) all questions concerning the Promotion must be directed to the Campaign Initiator and not to Passport Company.


Third-Party Websites, Advertisers or Services
The Services may contain links to third-party websites, advertisers, or services that are not owned or controlled by Passport Company. Access to or use of third-party sites or services are at each User's own risk. Except as otherwise expressly provided herein, Passport Company is not responsible for any loss or damage of any sort relating to User dealings with these third-party sites or services. We encourage Users to be aware of when they leave the Services, and to read the terms and conditions and privacy policy of any third-party website or service that they visit.


Payment Services
Campaign Initiators that accept PayPal and Contributors that use PayPal in connection with a Campaign acknowledge and agree to comply with PayPal’s Crowdfunding and Acceptable Use Policies. Credit card payment processing services for Campaign Initiators on Passport Company are by a third party credit card processor and are subject to the terms of service imposed by such credit card processor. By continuing to operate as a Campaign Initiator on Passport Company, you agree to be bound by the terms of service of our credit card processor as the same may be modified from time to time. Campaign Initiators: as a condition to Passport Company enabling credit card payment processing services through such credit card processor, you agree to provide Passport Company accurate and complete information about you and your business or organization, and you authorize Passport Company to share any such information with such credit card processor, as well as transaction information related to your use of the payment processing services provided by such credit card processor. In all cases, standard credit card or other third party processing fees apply in addition to any Service Fees and also may apply to refunds. We are not responsible for the performance of any third party credit card processing or third party payment services.


Indemnity
Each User agrees to defend, indemnify and hold harmless Passport Company, its subsidiaries and affiliated companies, and their officers, directors, employees, contractors and agents from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorneys' fees and costs) and all amounts paid in settlement arising from or relating to use of the Services, breach of these Terms or violation of any laws. Passport Company may assume the exclusive defense and control of any matter for which Users have agreed to indemnify Passport Company and each User agrees to assist and cooperate with Passport Company in the defense or settlement of any such matters.


No Warranty
Passport Company has no fiduciary duty to any User. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT OR COURSE OF PERFORMANCE. USE OF THE SERVICES IS AT USER'S OWN RISK.


Waiver and Release
For those Users located in a jurisdiction that requires a specific statement regarding waiver and release, each such User hereby waives any provision in law, regulation or code that has the effect or intent to narrow down the full extent of a general release.


Limitation of Liability
PASSPORT COMPANY (INCLUDING ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS OR LICENSORS) IS NOT LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR, IN ANY EVENT, FOR DAMAGES EXCEEDING THE LESSER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) OR THE FEES PAID TO PASSPORT COMPANY FOR THE TRANSACTION FROM WHICH THE CAUSE OF ACTION AROSE. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF PASSPORT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
For jurisdictions that do not allow Passport Company to limit its liability: Notwithstanding any provision of the Terms, for Users in a jurisdiction that has provisions specific to waiver or liability that conflict with the foregoing, then Passport Company's liability is limited to the smallest extent possible by law. Specifically, in those jurisdictions not allowed, Passport Company does not disclaim liability for: (a) death or personal injury caused by its negligence or that of any of its officers, employees or agents; or (b) fraudulent misrepresentation or intentional misconduct; or (c) any liability which it is not lawful to exclude either now or in the future.


Assignment
The Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by any User, but may be assigned by Passport Company without restriction or consent.

Termination and Survival
Termination may result in the forfeiture and destruction of all information associated with any User Account. Users may terminate their User Account by following the instructions on the Services, but Passport Company may retain the User Account information after termination in accordance with regulatory, accounting, and legal compliance procedures. All provisions of the Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.


Governing Law
Users agree that: (a) the Services shall be deemed solely based in Ontario, Canada (the principal place of business and head office of Passport Company); and (b) the Services shall be deemed a passive one that does not give rise to personal jurisdiction over Passport Company, either specific or general, in jurisdictions other than Ontario. This Agreement shall be governed by the laws of the Province of Ontario and Canada therein, without respect to its conflict of laws principles.


Arbitration
Passport Company and User agree that any and all disputes or claims shall be resolved exclusively through final and binding arbitration, rather than in court, except that a User at its election may assert claims in small claims court, if the User’s claims otherwise qualify for adjudication in that court. Passport Company and User manifest their assent to arbitrate by providing and using the Services. Arbitrable claims are those that Passport Company asserts against User, and that User asserts against Passport Company, any related or affiliated entity, and the officers, directors, agents or employees of any of them. To the maximum extent permitted by law, the Parties agree to arbitrate claims on an individual basis only, and they waive any right to bring, participate in, or recover under, a class, collective, consolidated or representative action. Arbitration shall be in accordance with the rules of the Arbitration Act, 1991 (Ontario) in effect on the date of commencement of such arbitration, by three arbitrators (individually, an “Arbitrator” and collectively, the “Arbitrators”).  Each of the parties hereto shall select an Arbitrator and shall notify the other party of the person so selected in writing by registered mail.  The first party to so be notified shall thereafter have fifteen (15) days to appoint the second Arbitrator, failing which the first party to have named an Arbitrator shall have the right to appoint the second Arbitrator as well.  The Arbitrators so selected shall within twenty (20) days of their nomination name a third Arbitrator. The arbitration shall take place in the City of Toronto unless otherwise agreed by the parties.  The Arbitrators shall have the right to grant legal and equitable relief including the right to grant permanent and interim injunctive relief.  The Arbitrators shall not amend or otherwise alter the terms and conditions herein.  The Arbitrators shall render a decision within sixty (60) days after the date on which the last Arbitrator was appointed.  Any Claim arising out of or relating to the terms of this Agreement shall be made in writing and shall be served upon the party against whom the Claim is made not more than twelve (12) months from the date of the alleged breach and any such Claim not made within such twelve (12) month period shall be deemed to have been abandoned and shall be absolutely barred. The award of the Arbitrators shall be final and binding on the parties and no appeal shall lie to any court.  The parties hereby agree to carry out any decision or order of the Arbitrators in good faith. If, notwithstanding this arbitration agreement, a claim for any reason proceeds in court rather than in arbitration, the dispute shall be exclusively brought and heard in a court of competent jurisdiction located in the Toronto, Ontario, Canada.


Disclaimers
Campaign Initiators and other Users should be aware that many jurisdictions impose charitable fund solicitation laws to guide direct or indirect fund solicitation activities in those jurisdictions. While provisions vary from jurisdiction to jurisdiction, the requirements typically include mandatory registration and reporting. Passport Company merely provides a technology platform to allow Campaign Initiators to connect with Contributors. Users who access or use the Services do so at their own volition and are entirely responsible for compliance with applicable laws.
Passport Company makes no representations, warranties or other assertions as to the potential tax deductible status of any Contribution by a Contributor to a charitable cause or to a Campaign whose purported recipient claims to be a charity or other tax-advantaged organization. The listing of an organization via the Services does not necessarily mean that the organization has been deemed (or remains currently deemed) a charitable or tax-advantaged organization by the relevant tax authorities.


English Language
In the event of a conflict between these the English language version of the Terms and any foreign language translation versions thereof, the English language version of the Terms shall govern and control. All disputes, claims and causes of action (and related proceedings) will be communicated in English.


Cooperation with Authorities and Police Enforcement
We will cooperate with law enforcement authorities as required by law. We will cooperate with law enforcement agencies in any investigation of alleged illegal activity regarding the use of the Services when requested.


Notification Procedures
Users agree Passport Company may provide notifications to such User via email, written or hard copy notice, or through conspicuous posting of such notice on our website. Users may opt out of certain means of notification or to receive certain notifications.


Unsolicited Idea Submissions
We are always pleased to hear from our Users, and welcome their comments or suggestions. However, products, services, and features developed by Passport Company or its Users might be similar or even identical to a submission received by Passport Company or its Users. When we refer to a "submission" in this paragraph, we mean: any submission, comment, or suggestion (including, but not limited to, ideas, products, or services and suggested changes) made either on the Passport Company platform or to Passport Company about an existing product or service on, or a feature of, or a proposed addition to, the Passport Company platform. With regard to User submissions:
(1) all such submissions are non-confidential and non-proprietary and will be treated as non-confidential and non-proprietary;
(2) Passport Company and its Users will have no express or implied obligation or liability of any kind concerning the submissions, including, for example, any use or disclosure of the submissions; and,
(3) Passport Company and its Users are entitled to unrestricted use or disclosure of the submissions for any purpose whatsoever, all without compensation to the User that submitted the submission.


Entire Agreement/Severability
These Terms are the entire agreement between each User and Passport Company regarding its subject matter. If any provision of these Terms are deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. Passport Company's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.


Changes to Terms
Passport Company may alter the Terms at any time, so please review them frequently. If a material change is made, Passport Company may notify Users in the Services, by email, by means of a notice on the Services, or other places we think appropriate. A "material change" will be determined at Passport Company's sole discretion, in good faith, and using common sense and reasonable judgment.

We may obtain address information about you from any third party sources, for fraud prevention or for legal compliance.
We may also collect Personal Information from you as a result of your email communications with us or your Posts which we may retain along with our responses.
Any Personal Information you Post as User Content is available to the public without any expectation of privacy or confidentiality. Copies may remain viewable in cached and archived pages or if other Users have copied or stored your User Content even if you remove the User Content. Your name and location are publicly displayed in your profile page. To request removal of your personal information from these areas of the site, contact us using the information below. In some cases, we may not be able to remove your personal information, in which case we will let you know if we are unable to do so and why. The profile you create on our site will be publically visible. You may change the visibility settings of your Contributions, and the types of information it may disclose, on the “My Contributions” page, and/or when you take specific actions on the site that provide you the option of anonymity.
We display personal testimonials of satisfied users on our site in addition to other endorsements. With your consent we may post your testimonial along with your name. If you wish to update or delete your testimonial, you can contact us using the information below. We collect your location based information for the purpose of tailoring search to reflect results in your area. We will only share this information with our mapping provider for the sole purpose of providing you with this service.
When you use our mobile site, we may receive information about your location and your mobile device, including a unique identifier for your device. We may use this information to provide you with location based services, search results, and other personalized content. Most mobile devices allow you to control or disable location services in the device’s setting’s menu. If you have questions about how to disable your device’s location services, we recommend you contact your mobile service carrier or the manufacturer of your particular device.

How We Share Your Personal Information with Third Parties
We will share your Personal Information with third parties only in the ways that are described in this privacy policy. We do not sell your Personal Information to third parties.

If you are a Contributor, we share your name and email with the Campaign Initiator.
If you are a Campaign Initiator, we may share your name, email address, and other contact information with any Contributor who alleges that you have failed to comply with your Campaign commitments.
We may provide your Personal Information to companies that provide services to help us with our business activities such as processing your payments, accepting job applications and offering customer service. These companies are authorized to use your personal information only as necessary to provide these services to us and are obligated to keep your information confidential. Some of our pages utilize framing techniques to serve content from our service providers while preserving the look and feel of our site, such as when you enter credit card information. Please be aware that you are providing your personal information to these third parties and not to www.passportme.com.
If Passport Company is involved in a merger, acquisition, or sale of all or a portion of its assets or bankruptcy, you will be notified via email and/or a prominent notice on our Website of any change in ownership or uses of your Personal Information, as well as any choices you may have regarding your Personal Information.


How We Store and Protect Your Personal Information
We may store Personal Information in locations outside our direct control (for instance, on servers or databases co-located with hosting providers).
We use encryption technology to encrypt sensitive personal information (such as your payment information and geolocation) before it travels over the internet. Credit card numbers are never stored on our database or servers.
The security of your Personal Information is important to us. We follow generally accepted standards to protect the personal information submitted to us, both during transmission and once we receive it. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, we cannot guarantee its absolute security. Compromise of Personal Information
We intend to promptly notify those persons whose Personal Information is compromised. Notwithstanding, Passport Company does not accept liability for any unintentional disclosure or a disclosure that occurs due to a security breach of our systems or facilities.


User Access and Choice
You may, of course, decline to submit Personal Information to us; in which case, you may not be able to become a User or use certain Services.
If your Personal Information changes, you may correct, update, amend, remove, or ask to have it removed by making the change on your user account “Settings” page, by contacting the email address listed below. If you no longer desire our service, you may deactivate/delete your account entirely from the account “Settings” page, or contact us directly. We aim to respond to your request within 30 days.
We will retain your Personal Information for as long as your account is active or as needed to provide you services. We will retain and use your Personal Information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.


Notification, Electronic Communication and Opt-Out
